Terms of Service

These Terms of Service ("Terms") govern your access to cognivector.pro and your use of advisory services provided by CogniVector Inc. ("CogniVector," "we," "us" or "our"). By accessing our website or engaging our services, you agree to these Terms. If you do not agree, do not use our website or services.

1. About our services

CogniVector provides enterprise vector intelligence advisory services from our Vancouver, British Columbia studio. Our offerings include embedding strategy, retrieval-augmented generation (RAG) pipeline design, semantic search architecture, knowledge graph integration guidance, vector audits and ongoing retainer advisory. We are an independent advisory studio — not a generic AI chatbot vendor, consumer app marketplace, data brokerage, software reseller or managed services operator unless explicitly stated in a written engagement letter.

2. Eligibility

Our services are intended for business operators, product leaders, data architects and engineering professionals who are at least 18 years of age. By using our services, you represent that you have authority to bind any business entity on whose behalf you engage CogniVector.

3. Website use

You may browse cognivector.pro for informational purposes related to vector intelligence advisory. You agree not to:

  • Use the website for any unlawful purpose or in violation of applicable Canadian law
  • Attempt to gain unauthorised access to our servers, systems or data
  • Scrape, copy or redistribute website content without written permission
  • Submit false information through our contact form or misrepresent your identity
  • Interfere with the proper functioning of the website or associated infrastructure

We reserve the right to restrict access to the website at our discretion for security or operational reasons.

4. Advisory engagements

Specific advisory programmes and services are described on cognivector.pro. A binding engagement requires a signed proposal or written agreement specifying scope, deliverables, fees in Canadian dollars (CAD) and timeline. Website descriptions are illustrative; final terms are set in the engagement document. We reserve the right to decline engagements outside our expertise or capacity.

5. Fees and payment

Programme and service fees are quoted in CAD unless otherwise stated. Payment terms are specified in the engagement agreement. Late payments may incur interest at the rate permitted by British Columbia law. We are not responsible for currency conversion costs incurred by international clients. All fees are exclusive of applicable GST/HST unless stated otherwise.

6. No guarantees — advisory disclaimer

CogniVector provides information, analysis and recommendations for advisory purposes. We do not guarantee:

  • Specific retrieval accuracy, recall@k scores or model performance in production
  • Regulatory approvals, privacy impact assessment outcomes or AI governance compliance
  • Vendor lead times, pricing, API availability or service-level agreements from third parties
  • Successful RAG deployment, search relevance improvements or business outcomes
  • Consumer chatbot engagement, app marketplace revenue or data monetization (we do not offer these services)

Benchmarks and architecture recommendations use assumptions you provide or that we document collaboratively. Actual results depend on corpus quality, engineering execution, query patterns, infrastructure choices and ongoing operations. You are solely responsible for production deployment decisions.

7. AI and data disclaimer

Our content covers enterprise vector intelligence advisory, embedding strategy and RAG architecture for informational purposes. Performance estimates and infrastructure projections reflect illustrative assumptions — individual results vary with corpus quality, query patterns and operating decisions. We do not guarantee specific business, regulatory or model-performance outcomes. We are not a generic AI chatbot vendor, consumer app marketplace or data brokerage. Clients remain responsible for lawful data handling, access controls and compliance with applicable AI and privacy regulations.

8. Intellectual property

All content on cognivector.pro, including text, architecture frameworks, evaluation harness templates, logos, design elements and advisory methodologies, is owned by CogniVector Inc. or licensed to us. Engagement deliverables are provided for your internal business use. You may not resell, publish or redistribute our proprietary frameworks without written consent. Third-party documentation referenced in deliverables remains the property of its respective owners.

9. Confidentiality

We treat client project information as confidential and do not disclose it to third parties except as described in our Privacy Policy or with your authorisation. You agree to keep our proprietary methodologies and non-public deliverables confidential. This obligation survives termination of the engagement.

10. Limitation of liability

To the maximum extent permitted by British Columbia law, CogniVector Inc., its directors, officers, employees and contractors shall not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of the website or advisory services, including lost profits, system downtime, business interruption or costs from infrastructure or vendor decisions. Our total liability for any claim arising from an engagement shall not exceed the fees paid by you for that specific engagement in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless CogniVector Inc. from claims, damages and expenses (including reasonable legal fees) arising from your misuse of the website, violation of these Terms, deployment decisions made based on our advisory input, or your failure to comply with applicable laws including privacy, AI governance and data protection regulations.

12. Third-party relationships

We may recommend or coordinate with vector database vendors, embedding API providers, ML platform specialists and other third parties. We are not a party to your contracts with these parties and bear no responsibility for their performance, pricing or warranties. Any referral is advisory only and does not constitute an endorsement unless explicitly stated in writing. We do not accept referral fees from vendors.

13. Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts of British Columbia for disputes arising from these Terms or our services.

14. Dispute resolution

Before initiating legal proceedings, parties agree to attempt good-faith resolution through direct negotiation for thirty days. If unresolved, either party may pursue remedies available under British Columbia law.

15. Termination

Either party may terminate an advisory engagement according to the terms of the engagement agreement. We may suspend website access or refuse future engagements if you breach these Terms. Provisions that by nature should survive termination — including confidentiality, limitation of liability, indemnification and governing law — shall survive.

16. Changes to these Terms

We may update these Terms at any time. The "Last updated" and "Effective from" dates indicate the current version. Material changes will be posted on this page. Continued use of cognivector.pro after changes constitutes acceptance. Active engagements are governed by the Terms in effect at the time of signing unless otherwise agreed.

Additional terms for sample data processing

When engagements involve processing sample document excerpts for embedding benchmarks, clients warrant they have lawful authority to provide such materials and that processing under our advisory scope complies with applicable privacy and confidentiality obligations. CogniVector processes sample data solely to deliver contracted deliverables and deletes samples according to the retention schedule in our Privacy Policy unless a written data processing agreement specifies otherwise.
